Program Overview:

This 2-week Industry Shadowing Program is designed for motivated students interested in corporate law and transactional practice. Participants will gain hands-on exposure to real legal workflows, guided by experienced attorneys and a dedicated mentor throughout the program.

Rather than passive observation, students will actively engage in simulated legal assignments that mirror real-world work.

Week 1:

• Startup Formation

• Understanding how companies are formed and structured

• Overview of startup formation (entities, governance, key documents

• Hands-on assignment: Drafting a basic startup formation package

• Review of incorporation documents and governance structure

• Attorney-led walkthrough Group discussion and feedback

Week 2:

• Venture Financing & Term Sheet 

• Negotiation Understanding how startups raise capital 

• Introduction to venture financing and term sheets 

• Simulation exercise: Students divided into investor and founder teams 

• Negotiation of a financing term sheet 

• Final Session: Group presentations 

• Feedback from attorneys
